The NGA is a company limited by guarantee. It has a board of trustees who are volunteer governors from across England. The board of trustees are ultimately responsible for directing the affairs of NGA, and ensuring that it is solvent, well-run and delivering the charitable objective. The board comprises a talented mix of experienced school governors/trustees who bring to the table a wide range of valued business, education and charitable sector skills and knowledge.

The board of trustees are seeking to appoint a suitably qualified, experienced and independent service provider to carry out the joint role of Clerk to the Board and Company Secretary. The role of Clerk involves providing the board with impartial advice and guidance, administering meetings and managing information effectively on behalf of trustees. The role of Company Secretary requires compliance with statutory and regulatory requirements, maintaining statutory returns, including registers of Members and Directors. 

NGA’s board of trustees meets four times a year – three formal trustee meetings, and one strategy day.  Meetings are held at NGA’s Offices in Birmingham. The Annual General Meeting of NGA is held in Birmingham in November. The company secretary is required to take minutes and act as returning officer for the election of trustees/directors.

We estimate that the role will amount to approximately twenty five days’ work per year.  The fee for the service will be confirmed with the service provider along with the service level agreement. The fee will be commensurate with the professional service that the NGA board of trustees expect to receive.

The responsibilities of the Clerk and Company Secretary include the following:

  • providing the NGA board of trustees with procedural advice and guidance;
  • administering  meetings of the NGA board of trustees;
  • managing information on behalf of the NGA board of trustees;
  • administering  and taking the  minutes of the Annual General Meeting of NGA;
  • acting as returning officer for the election of Trustees/Directors at the Annual General Meeting of NGA;
  • registering Trustees at both Companies House and the Charities Commission;
  • updating Companies House on officer appointments, resignations and  changes of registered address, and
  • the preparation and submission to Companies House of Confirmation Statements and other forms.
